These Terms and Conditions apply to members, guests and customers at premises operated by Mill House Wooburn Ltd, trading as Mill House, and constitute the terms of a contract between the member and Mill House.

General
In these Terms and Conditions: -
‘we’, ‘our’ or ‘us’ refers to Mill House
‘you’ or ‘your’ pertains to ‘member’, ‘client’, ‘guest’ or ‘customer’
‘The initial period’ relates to one calendar month from the time of booking
‘General data protection regulations’ referred to as GDPR
These Terms and Conditions apply to your ‘membership/package’ at Mill House, Wooburn.
Mill House objectives are to provide flexible, shared office or coworking space and meeting rooms for individuals and small teams seeking a temporary venue in a congenial, professional business environment. Nothing in these Terms and Conditions confers any security of tenure or other right of exclusive possession or rights of occupation on a member.

Nature of this agreement and relationship of the parties
Mill House is by these Terms and Conditions granting anyone who becomes a member and who abides by these Terms and Conditions of membership and the Code of Conduct, the right to use the flexible work space provided at Mill House for permitted purposes. The purpose of the agreement comprised in these Terms and Conditions is the provision by Mill House of the services to members.
Membership is applicable to you as the named member/individual and is not transferable (unless otherwise agreed).
The whole of the office space occupied and used by members remains the property of Mill House Wooburn Ltd and remains in Mill House Wooburn Ltd’s possession and control. Nothing in these Terms and Conditions shall create the relationship of landlord-tenant or lessor-lessee relationship between Mill House Wooburn Ltd and any member, or any members or any additional named user, or any other person or entity (whether corporate or otherwise). Nothing in these Terms and Conditions shall create or confer upon any member or members or any other person any security of tenure, any tenancy, any leasehold estate, or any other legal or beneficial real property interest. Nothing in these Terms and Conditions shall grant or be construed so as to grant to any member, or any members, or any other person, any title, easement, lien, right of possession or related rights in the business and undertaking of Mill House Wooburn Ltd, or in Mill House Wooburn Ltd, or in or related to the premises or office space used or occupied in the course of providing the Services.
Membership
Membership allows members to enjoy a community led flexible office space. All membership and packages are subject to change from time-to-time at the discretion of Mill House.

All information collected is treated in strict confidence, and only used in accordance with your membership and our privacy policy.

By becoming a member of Mill House you agree that we can hold your personal details on file to use in connection to your membership.

You are required to keep your contact, payment details and security settings up to date in the membership area of your account.

Access to membership information is available in your membership area online.

The management has full discretion on who is eligible to be a member.

Meeting Rooms
These Terms and Conditions apply to members or customers booking meeting rooms at Mill House as set out in the description of the particular meeting room on the website.

Internet and Refreshments
As a member you are entitled to the use of free internet access and refreshments in accordance with your membership package. Limited refreshments only are available out of office hours. Any use of free facilities must be fair and reasonable. Mill House requires members to always comply with the relevant provisions of the Digital Economy Act 2010 when using the Mill House free internet connection.
In the event that Mill House experiences any issues with the provision of internet service (whether temporary suspension or otherwise) Mill House will not accept any liability or be held responsible for any loss or damage whatsoever which may be occasioned to a member as a result of the occurrence of such issues. This limitation and exclusion of liability and responsibility shall apply however such loss or damage may arise, whether directly or indirectly, and the member waives any right to make any claim whatsoever against Mill House or any of the third-party companies arising out of, or in connection with, any such loss or damage.
Printing, Copying and Document Scanning
We reserve the right to charge for printing and scanning services.
In the event that Mill House experiences any issues with the provision of the copying, printing and document scanning facilities (whether temporary suspension or otherwise) Mill House will not accept any liability or be held responsible for any loss or damage whatsoever which may be occasioned to a member as a result of the occurrence of such issues. This limitation and exclusion of liability and responsibility shall apply however such loss or damage may arise whether directly or indirectly and the member expressly waives any right to make any claim whatsoever against Mill House or any of the third-party companies arising out of or in connection with of any such loss or damage.
Locker Service
Membership entitles you to the use of a locker, subject to availability on a first come, first served basis.
If a member fails to remove property from the locker by the end date of their Mill House membership then Mill House will have the right to remove any such property. Mill House shall be under no obligation to notify a member of any such removal and shall incur no liability to member or any other person for any loss or damage (however it may arise) which the member or any other person may sustain as a result of such removal or disposal and the member expressly waives any right to make any claim whatsoever arising out of or in connection with any such disposal whether for the value of the property disposed of or otherwise.
Property removed from a locker in such circumstances will be stored and available for collection for a period of not less than ten working days after which period it will be disposed of.
Lockers are available to named individual members only. Lockers are not provided as a long-term storage facility. Lockers must remain locked at all times apart from those occasions when property is being deposited or removed. Mill House accepts no liability whatsoever for the safety or security or for the loss of (including by theft) or damage to any property stored in any locker. Members accept that when using such facilities their goods are stored at entirely their own risk and it shall be members responsibility to insure against the risk of loss, theft, or damage to their property.
Lockers must be used in a manner consistent with the Mill House objectives set out in these Terms and Conditions and Mill House reserves the right to open (including by force) any locker and to inspect and/or remove the contents of any locker if or when it suspects it is being used in contravention of the same and shall have the right to draw the contents of any locker to the attention of any relevant authority should it deem it appropriate to do so.
Mail Handling Service
A mailbox service is available to those on either a Resident Membership Package or a Virtual Office Package. The mailbox service offers a registered postal address to which post may be sent and for the holding of post so sent for collection by the member.

Registered Office Service
The use of Mill House as a Registered Office address is available to Resident members and Virtual Office members only. If you are not signed up to one of these packages, you do not have our permission to use our address as a Registered Office address. If you use our address without permission, you may be committing an Offence by displaying incorrect information on Companies House.
Our Registered Office Service allows a Company to use our address as a Registered Office address on Companies House. To apply for this service, you must complete a ‘Registered Office Application Form’. Full Terms and Conditions and a link to the application form can be found here.
Limitation and Exclusion of Liability
Mill House accepts no responsibility for any loss of or damage to members property (or that of their visitors) while they are using the Mill House areas or any of the services offered. Members will be entirely responsible for ensuring their property is safe and secure at all times whether stored in lockers, desks or otherwise and members shall be entirely responsible for insuring the same. The limitation and exclusion of liability provided in this clause shall be in addition to, and shall be read with, and form part of the limitations and exclusions of liability set out elsewhere and in these Terms and Conditions.
Damage
You may be held liable (and do hereby authorise us to charge you) for the repair cost for all damage to our Premises and items therein caused by you, your guests or invitees.
Membership and Code of Conduct
Membership requires that members will be responsible for ensuring their own behaviour and that of their members guests is at all times appropriate to the shared business environment of Mill House and is in accordance with the Mill House objectives set out in these Terms and Conditions and the Code of Conduct.
Membership and access are at Mill House’s discretion and will be reviewed if Mill House concludes a members or members guests use of Mill House areas and facilities is or may be inconsistent with the Mill House objectives and these Terms and Conditions.
Access is always subject to sufficient space being available and to ensuring compatibility with the Mill House objectives.

Minimum Package Periods and Termination
Packages are all available to purchase online – please check Terms and Conditions relating to each package.
If we have to close facilities for reasons outside of our control, we will provide other facilities, where possible, or consider payment of compensation.
If we need to give notice to you:

It will be effective if we send it to the address or email address we have in the records we hold about you; and

If we give notice during a month, our notice period will run from the first day of the following month, or the end date of your current renewal period, whichever is sooner.

‘Resident’s Package’ is a minimum initial period of one calendar month. After the initial period Mill House Residents package will be renewed automatically and will continue to be renewed each calendar month afterwards unless terminated in the online members area.
‘Hot Desk Bundles’ a block of single coworking days. All sessions must be booked within one calendar month from the date of purchase. The dates can be changed/moved, if necessary, within the initial calendar month. These are non-refundable if not all used. Hot Desk hours apply. Packages will renew automatically and will continue to be renewed each calendar month afterwards unless terminated in the online members area.
‘Hot Desk’ single day coworking package. Pay as you go, bookable up to 60 days in advance, non-refundable. Hot Desk hours apply.
All package charges are payable in advance by direct debit or by credit/debit card where the member has an online account. Failure to pay, or late payment of package charges or other charges, may result in Mill House membership termination. Mill House reserves the right to take appropriate steps to recover arrears.
Payment for any other service(s) provided to members will be charged in advance by credit card or direct debit as advised at the point of ordering or booking the service(s).
Mill House is not obliged to refund any amounts for a period when a package is unused, except if Mill House elects to terminate a member’s membership for any reason or if there has been payment in advance for a service which is withdrawn prior to use by a member.
If a member’s package is terminated or if it expires, the member must return all associated keys and fobs where applicable to Mill House. There will be a charge for all replacement key fobs and keys/lock replacements if lost or not returned.
Mill House memberships/packages may not be transferred or assigned to another person.

Alterations to these Terms and Conditions
Mill House may at any time alter these Terms and Conditions and the packages of services offered and may also alter the level of membership package charges and service charges applicable to Mill House membership and the services. Prior notice to members of any such alterations will be provided to the member not less than 14 days before any such alterations, including alterations to membership charges coming into effect. By agreeing to these Terms and Conditions and by continuing to use the services or any of them, members accept that it is their obligation to check the website for alterations and agree to be bound by them.
Data Protection
Mill House undertakes that, in performing its obligations, it shall comply with the provisions of the GDPR and all other applicable laws relating to the processing of personal data as defined by the GDPR .
Mill House collects and processes members personal data to tailor our range of services to meet the needs of individual customers and to undertake administrative activities in relation to the services. We will share relevant personal data with the Mill House third-party service provider of internet access and service desk support to facilitate your use of our services.
Interpretation
Nothing in this agreement shall limit or exclude Mill House’s liability for:
-
death or personal injury caused by its negligence, or the negligence of its employees, agents or subcontractors (as applicable);
-
fraud or fraudulent misrepresentation;
-
breach of the terms implied by section 12 of the Sale of Goods Act 1979;
-
defective products under the Consumer Protection Act 1987; or
-
any matter in respect of which it would be unlawful for a Provider to exclude or restrict liability.
Subject to:
Mill House shall under no circumstances whatsoever be liable to the member, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss of profit or revenue, loss or inaccuracy of data, equipment downtime, business interruption or any indirect, incidental, punitive, exemplary, special, or consequential loss or damages however arising under or in connection with out Terms and Conditions or services; and members total liability to the member in respect of all other losses arising under or in connection with this agreement and the services, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall in no circumstances exceed £1.
The services are being provided "as is," without any warranty of any kind without limiting the foregoing, provider expressly disclaims all warranties, whether express, implied or statutory, and including the warranties of merchantability, fitness for a particular purpose, title, quality, accuracy and non-infringement of third-party rights to the maximum extent permitted by applicable law.

Law and Jurisdiction
Contracts for the booking of all services and/or equipment will be governed by the laws of England and Wales. Any dispute arising from or relating to such contracts shall be subject to the exclusive jurisdiction of the courts of England and Wales.
