About us

These Terms and Conditions apply to members, guests and customers at Circa45 premises operated by The Collective Studio Group Limited, trading as Circa45, and constitute the terms of a contract between the member and Circa 45 

 

We are registered in England and Wales under company number 13248197

Our registered office is at:

General

In these terms and conditions: -

‘we’, ‘our’ or ‘us’ refers to “Circa45/Mill House”

‘you’ or ‘your’ pertains to ‘member’, ‘client’, ‘guest’ or ‘customer’

‘The initial period’ relates to one calendar month from the time of booking

‘General data protection regulations’ referred to as GDPR

 

These Terms and Conditions apply to your ‘membership/package’ at Mill House, Wooburn, and a range of services provided by Circa45.

 

Circa45 objectives are to provide flexible, shared office or coworking, private members club environment for individuals or small teams seeking a temporary venue in a congenial, professional business environment. Nothing in these terms and conditions confers any security of tenure or other right of exclusive possession or rights of occupation on a member.

Nature of this agreement and relationship of the parties

Circa45 is by these terms and conditions granting anyone who becomes a member and who abides by these terms and conditions of membership and the club code of conduct, the right to use the flexible coworking space provided at Circa45 locations for permitted purposes. The purpose of the agreement comprised in these terms and conditions is the provision by Circa45 of the services to members.

 

Membership is applicable to you as the named member/individual and is not transferable.

 

The whole of the office space occupied and used by members remains the property of Circa45 and remains in Circa45’s possession and control. Nothing in these terms and conditions shall create the relationship of landlord-tenant or lessor-lessee relationship between Circa45 and any member, or any members or any additional named user, or any other person or entity (whether corporate or otherwise). Nothing in these terms and conditions shall create or confer upon any member or members or any other person any security of tenure, any tenancy, any leasehold estate, or any other legal or beneficial real property interest. Nothing in these terms and conditions shall grant or be construed so as to grant to any member, or any members, or any other person, any title, easement, lien, right of possession or related rights in the business and undertaking of Circa45, or in Circa45, or in or related to the premises or office space used or occupied in the course of providing the Services.

 

Membership

Membership is bespoke to each Circa45 property and allows members to enjoy a community led co-working environment. A joining fee and packages are available for all categories of membership on each website. All membership and packages are subject to change from time-to-time at the discretion of Circa45.

  • All Members are expected to complete a membership application form online and the committee at Circa45 will review and authorise.

  • You are free to withdraw your application at any time – please email hello@circafortyfive.com

  • All clubs have an over 18s only policy

  • All information collected is treated in strict confidence, and only used in accordance with your membership and our privacy policy.

  • By becoming a member of a Circa45 property you agree that we can hold your personal details on file to use in connection to your membership.

  • You are required to keep your contact and payment details up to date in the membership area of your account.

  • It is helpful for candidates to have a proposer who is an existing member and priority will be given to an application made with a proposer.

  • The prospective member will then be contacted by the Club and an informal meeting will be arranged and a tour of the relevant membership coworking space.

  • If your application is successful, you will be notified and the one-off membership fee and initial subscription will be payable in full by credit or debit card. Future subscriptions will be collected online by direct debit or on a pay as you go.

  • Access to membership information is available in your membership area online.

  • Should the membership list be closed at the time, due to the Community Co-working Club reaching full capacity, the applicant will be placed on the waiting list.

  • No reason will be given for refusal of an application.

  • The management has full discretion on who is eligible to be a member.

  • A one-off joining fee is payable on completion of your membership application unless this is included in your package or covered by a current promotion.

Guests

Resident members are permitted to bring a maximum of 2 guests on any given day onto the premises as members guests.  During busy times or special events Circa45 may need to restrict non-member/guest access.

Guests can come in on a ‘guest pass’, residents must register all guests with the Club before arrival, accesses granted for a limited number of visits for each individual guest.

 

Members Guests may only access Circa45 areas when accompanied by a member.

Hours

Circa45 membership entitles you to use Circa45 areas as stated in the Membership Handbook for your location.  Opening hours may vary from location to location and members should check the dedicated section of the website. Use of the designated Circa45 areas is subject to the terms of your membership package (including any terms as to reasonable use) and will be charged for on a daily or monthly basis.

 

Internet and refreshments

As a member you are entitled to the use of free internet access and refreshments in accordance with your membership package available in designated locations. Such facilities are available only during the opening hours of the Circa45 location. Opening hours can be found in the Membership Handbook for your location. Any use of free facilities must be fair and reasonable. Circa45 requires members to always comply with the relevant provisions of the Digital Economy Act 2010 when using the Circa45 free internet connection.

 

Circa45 provides internet access through its third-party service provider. Additionally, Circa45s third-party service provider also supplies Dot11 Wi-Fi and service desk support to Members. To provide these services, Circa45 needs to share information including members personal data such as name, email addresses and contact numbers with the third-party service provider.  You acknowledge and consent to Circa45 sharing your personal data with Circa45 third-party service provider of internet access and service desk support solely for the provision of these services to you.

 

In the event that Circa45 experiences any issues with the provision of internet service (whether temporary suspension or otherwise) Circa45 will not accept any liability or be held responsible for any loss or damage whatsoever which may be occasioned to a member as a result of the occurrence of such issues. This limitation and exclusion of liability and responsibility shall apply however such loss or damage may arise whether directly or indirectly and the member waives any right to make any claim whatsoever against Circa45 or any of the third-party companies arising out of or in connection with of any such loss or damage.

 

Printing, copying and document scanning

We reserve the right to charge for printing and scanning services.

In the event that Circa45 experiences any issues with the provision of the copying, printing and document scanning facilities (whether temporary suspension or otherwise) Circa45 will not accept any liability or be held responsible for any loss or damage whatsoever which may be occasioned to a member as a result of the occurrence of such issues. This limitation and exclusion of liability and responsibility shall apply however such loss or damage may arise whether directly or indirectly and the member expressly waives any right to make any claim whatsoever against Circa45 or any of the third-party companies arising out of or in connection with of any such loss or damage.

 

Locker service

Membership entitles you to the use of a locker where such facilities are offered and subject to availability on a first come, first served basis. Lockers are available to hire on a day-by-day basis only. 

If a member fails to remove property from the locker at the end of any day then Circa45 will have the right to remove any such property. Circa45 shall be under no obligation to notify a member of any such removal and shall incur no liability to member or any other person for any loss or damage (however it may arise) which the member or any other person may sustain as a result of such removal or disposal and the member expressly waives any right to make any claim whatsoever arising out of or in connection with any such disposal whether for the value of the property disposed of or otherwise. Property removed from a locker in such circumstances will be stored and available for collection for a period of not less than ten working days after which period it will be disposed of.

Lockers are available to named individual members only. Lockers are not provided as a long-term storage facility. Lockers must remain locked at all times apart from those occasions when property is being deposited or removed. Circa45 accepts no liability whatsoever for the safety or security or for the loss of (including by theft) or damage to any property stored in any locker. Members accept that when using such facilities their goods are stored at entirely their own risk and it shall be members responsibility to insure against the risk of loss, theft, or damage to their property. Lockers must be used in a manner consistent with the Circa45 objectives set out in these terms and conditions and Circa45 reserves the right to open (including by force) any locker and to inspect and/or remove the contents of any locker if or when it suspects it is being used in contravention of the same and shall have the right to draw the contents of any locker to the attention of any relevant authority should it deem it appropriate to do so.

 

Mailbox service

A mailbox service is only available to Resident Membership Packages. The mailbox service offers a registered postal address to which postal packets may be sent and for the holding of packets so sent for collection by the member; it does provide a forwarding service by whatever means for postal packets so sent to the customer. 

 

To apply for the mailbox service, you must complete a mailbox service application form which will be provided on the website. You must when applying supply all of the information requested in the application form including all documents.

 

Circa45 accepts no liability whatsoever for the safety or security or for the loss of (including by theft) or damage to any mail or goods in any mailbox or consequential loss of any kind (including but not limited to business loss) arising out of the loss, misplacement, or theft of any items of post. Members accept that when using such facilities their mail is stored at entirely their own risk and it shall be members responsibility to insure against the risk of loss, theft, or damage to their mail or against any consequential loss arising therefrom.

 

Mailboxes must be used in a manner consistent with the Circa45 objectives set out in these terms and conditions and Circa45 reserves the right to suspend or terminate provision of the mailbox service to any member or to inspect and/or remove the contents of any mailbox if or when it suspects it is being used in contravention of these terms and conditions or the objective set out in these terms and conditions. Circa45 shall have the right to draw the contents of any mailbox to the attention of any relevant authority should it deem it appropriate to do so.

 

If a members application for the mailbox service is granted the member shall be under a continuing obligation to notify Circa45 of any change to the information given on the application form or any relevant change in circumstances at any time during the period of his or her membership.

 

Circa45 is not obliged to and does not agree to hold mail for any member wishing to use the mailbox service where there is a pending application for the mailbox service and while the background checks are being completed. The member agrees that a period of up to ten days, subject to all paperwork being received, may elapse between the date of the application and the date of confirmation of acceptance and the start of the mailbox service after such acceptance.

 

In the event that the information supplied by a member in an application form is discovered at any time to be inaccurate or incomplete or if the results of any background check are unsatisfactory for any reason, then Circa45 will refuse to grant the application from the member in relation to the same or immediately terminate the mailbox service.

 

Limitation and exclusion of liability

Circa45 accepts no responsibility for any loss of or damage to members property (or that of their visitors) while they are using the Circa45 areas or any of the services offered at any of the Circa45 locations. Members will be entirely responsible for ensuring their property is safe and secure at all times whether stored in lockers, desks or otherwise and members shall be entirely responsible for insuring the same. The limitation and exclusion of liability provided in this clause shall be in addition to and shall be read with and form part of the limitations and exclusions of liability set out elsewhere and these terms and conditions.

 

Damage

You may be held liable (and do hereby authorize us to charge you) for the repair cost for all damage to our Premises and items therein caused by you, your guests or invitees.

 

Availability and behaviour

Availability of Circa45 areas is subject to sufficient space being free to accommodate those members wishing to have access at any one time. Circa45 has the right to determine appropriate capacity levels to ensure all members are safe and receive an optimum experience of their use of the Circa45 areas. Access is always subject to sufficient space being available and to ensuring compatibility with the Circa45 objectives.

 

Membership requires that members will be responsible for ensuring their own behaviour and that of their members guests is at all times appropriate to the shared business environment of Circa45 areas and is in accordance with the Circa45 objectives set out in these terms and conditions and the club Code of Conduct. Membership and access are at Circa45’s discretion and will be reviewed if Circa45 concludes a members or members guests use of Circa45 areas and facilities is or may be inconsistent with the Circa45 objectives and these terms and conditions.

Minimum package periods and termination

On joining you will be required to pay a one-off membership fee of £50.00 depending on your package. This fee can be reviewed at the discretion of Circa45. Your joining fee will be payable once your membership application is approved.

All packages are all available to purchase online – please check terms and conditions relating to each package online.

 

If we have to close facilities or clubs for reasons outside of our control, we will provide other facilities where possible or consider payment of compensation.

 

If we need to give notice to you:

  • it will be effective if we send it to the address or email address we have in the records we hold about you; and

  • if we give notice during a month, our notice period will run from the first day of the following
    month.

‘Resident’s Package’ is a minimum initial period of one calendar month.  After the initial period Circa45 Residents package will be renewed automatically and will continue to be renewed each calendar month afterwards unless the member terminates their Circa45 Residents package in the online members area.

 

‘Community Working - Hot Desk 5 Bundle’ a block of 5 single co-working day packages.  All 5 sessions must be booked within one calendar month from the date of purchase. The dates can be changed/moved, if necessary, within the initial calendar month. These are non-refundable if not all used. Co-working hours apply, see Membership Handbook & Code of Conduct.

 

‘Community Working – Hot Desk’ single day co-working package.  Pay as you go, bookable up to 60 days in advance, non-refundable. Co-working hours apply, see Membership Handbook & Code of Conduct.

 

All package charges are payable in advance by direct debit or by credit/debit card where the member has an online account. Failure to pay or late payment of package charges or other charges may result in Circa45 membership termination. Circa45 reserves the right to take appropriate steps to recover arrears.

 

Payment for any other service(s) provided to members will be charged in advance by credit card by direct debit as advised at the point of ordering or booking the service(s).

 

Circa45 is not obliged to refund any amounts for a period when a package is unused except if Circa45 elects to terminate a members membership for any reason or if there has been payment in advance for a Service which is withdrawn prior to use by a member.

 

If a members package is terminated or if it expires, the member must return all associated keys and fobs where applicable to Circa45. There will be a charge for all replacement key fobs and keys/lock replacements if lost or not returned.

 

Circa45 memberships/packages may not be transferred or assigned to another person.

Alterations to these terms and conditions  

Circa45 may at any time alter these terms and conditions and the packages of services offered and may also alter the level of membership package charges and service charges applicable to Circa45 membership and the services. Prior notice to members of any such alterations will be provided to the member not less than 14 days before any such alterations, including alterations to membership charges, come into effect. By agreeing to these terms and conditions and by continuing to use the services or any of them, members accept that it is their obligation to check the website for alterations and agree to be bound by them.

 

Data protection

Circa45 undertakes that, in performing its obligations, it shall comply with the provisions of the GDPR and all other applicable laws relating to the processing of personal data as defined by the GDPR and, it shall only process personal data in accordance with, and as anticipated in, this Agreement, the Circa45 Data Protection/GDPR Policy is available to review on the website.

 

Circa45 collects and processes members personal data to tailor our range of services to meet the needs of individual customers and to undertake administrative activities in relation to the services.  We will share relevant personal data with the Circa45 third-party service provider of internet access and service desk support to facilitate your use of our services. We will only use your personal information for marketing if you have provided us with specific consent by opt-in to receive marketing from us or from our preferred third-party suppliers.  

 

Technical support

These terms and conditions are the legal terms and conditions on which Circa45 provides IT services as defined below as services to you the member. This Agreement governs your use of the services and will apply to any provision of any services by Circa45 to you.

 

Interpretation

Remote work support for customers relating to access and connectivity requirements members acknowledges and agrees that the member shall pay no fee in respect of the services provided by Circa45; and that the essential purpose of this agreement is to limit the liability of Circa45 in respect of the provision of services, and that the charging of fees would be required if Circa45 were to assume any further liability other than as set forth herein.

 

Nothing in this agreement shall limit or exclude Circa45’s liability for:

  • death or personal injury caused by its negligence, or the negligence of its employees, agents or subcontractors (as applicable);

  • fraud or fraudulent misrepresentation;

  • breach of the terms implied by section 12 of the Sale of Goods Act 1979;

  • defective products under the Consumer Protection Act 1987; or

  • any matter in respect of which it would be unlawful for Provider to exclude or restrict liability.

 

 

Subject to:

Circa45 shall under no circumstances whatsoever be liable to the member, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss of profit or revenue, loss or inaccuracy of data, equipment downtime, business interruption or any indirect, incidental, punitive, exemplary, special, or consequential loss or damages however arising under or in connection with this agreement or the services; and members  total liability to the member in respect of all other losses arising under or in connection with this agreement and the services, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall in no circumstances exceed £1.

 

The services are being provided "as is," without any warranty of any kind. without limiting the foregoing, provider expressly disclaims all warranties, whether express, implied, or statutory, and including the warranties of merchantability, fitness for a particular purpose, title, quality, accuracy, and non-infringement of third-party rights to the maximum extent permitted by applicable la

 

Circa45 meeting rooms

General

These terms and conditions apply to members or customers booking meeting rooms at Circa45 premises as set out in the description of the particular meeting room on the website.

 

Booking

Meeting room bookings are subject to availability and payment in advance. Completion of registration on our website and payment of the booking fee constitutes an offer to us to secure a meeting room and any equipment. We will send formal confirmation of your booking to you by email and only then will any contract between us be formed. Such contract will only apply to those services which we have confirmed in our confirmation email. The booking is confirmed by email once payment in full is received. Access will be denied if you have not paid in advance. All payments are to be made by debit or credit card. We do not accept payments in cash or by cheque.

 

Extending your meeting room booking

If your meeting is likely to overrun, please check availability with the Reception.  Bookings cannot be extended beyond our normal opening hours of 09.00 to 17.30 on working days (last booking at 4pm), unless by prior arrangement.

 

Cancellations

If you need to cancel the booking made by you, the following cancellation fees set out below shall apply.

Cancellations can be made at the location where your booking was made by telephone/in person or by email. Any cancellation made will not be effective unless and until we confirm acceptance of that cancellation by sending you an email confirmation of the cancellation.

  • In the event that you cancel your booking more than 5 business days or more prior to the date of a booking, no cancellation fee shall be payable.

  • In the event that you cancel your booking less than 5 business days prior to the date of a booking, a cancellation fee equal to 100% of the fee for that booking shall be payable, unless we are able to resell the space.

  • On a cancellation where no cancellation fee is payable, we will arrange the repayment of any fees paid by you prior to the cancellation by our payment service provider within 15 business days of the date of the cancellation of the booking.

  • The terms & conditions for cancellation are also applicable to any food and beverage or equipment ordered on your behalf.

Equipment

The hiring of a meeting room includes the hiring of all tables and chairs and equipment within the room as detailed in the room specification on the website.

You are liable for any damage to or loss of our furniture, the meeting room or equipment (whether yours or ours).  In the event of any damage or loss to our furniture, the meeting room or our equipment we will send you an invoice for the cost of repair and/or replacement which must be paid within seven days.

You must not disconnect, change, or tamper with any cabling or connections in the meeting room.  In the event of any technical issues our staff will endeavour to rectify the same for you.

You must not move furniture from the meeting room to any other part of our premises without our consent.

We do not hold adaptors or chargers and so please bring your own should they be required.

Standard local and national calls can be made using the handsets provided, all other call types are not unavailable.

 

Restrictions on use

You are responsible for ensuring your own behaviour and that of others attending your meeting is at all times appropriate and in accordance with our principles and values.  We reserve the right to cancel any bookings for meetings that we in our sole discretion deem inappropriate.

 

You must declare when booking the room, the purpose of the room hire and the meeting room and equipment must be used for that purpose only.

 

You must not use the rooms or equipment in any way which results in annoyance or disturbance to us or any of our employees Circa45 members or visitors or which may bring our name into disrepute.

 

Our liability

Any equipment or IT services provided by us are subject to the terms and conditions set out under the technical support provisions of the general terms and conditions.

 

Persons attending our premises to use meeting rooms and/or equipment must keep their personal belongings with them at all times and we accept no liability for damage to or loss of personal belongings.  We do not accept any liability for any loss (including without limitation theft) of any property from our premises save for any damage caused by our negligence in which circumstances our liability shall be limited to the amount of our insurance for such losses.

 

We will not be liable to you or any third party for any business loss (including loss of revenue, profits, contracts, anticipated savings, wasted expenditure, data or good will) or any other loss or damage which does not result directly from our actions or omissions or the actions or omissions of our employees, contractors or agents is consequential or is not reasonably foreseeable to both you and us when the contract between us was formed.

 

Nothing in these terms and conditions excludes our liability to you for personal injury or death caused by our negligence.

 

Leaving the meeting room as found

You must leave the meeting room clean, tidy and arranged as you found it.  Any failure to comply will result in us issuing an invoice to you for cleaning charges.

 

Force majeure

We shall not be liable for any breach of these Terms and Conditions or any losses resulting therefrom caused by circumstances beyond our reasonable control, including, but not limited to, acts of God, fire, lightning, flood or extremely severe weather, explosion, war, terrorism, disorder, industrial disputes (whether or not involving our employees) network failures, or acts of local or central Government or other competent authorities.

 

Other terms and conditions

  • The subletting of meeting rooms or equipment or facilities is not permitted

  • Any complaint about any services provided for a meeting or about the meeting room or any equipment provided must be notified in writing to us within fourteen days of your meeting

  • Smoking is not permitted in any of our premises

  • Permission to film or video events must be obtained in advance from us

  • Food and drink must not be brought onto our premises for resale on the premises

  • You are permitted to serve and consume alcohol provided you have our prior written consent and you have notified us when booking the meeting room

  • Any food and beverage consumed within Workspace meeting rooms must be provided by the onsite café, where one is available

 

 

Collection and use of your personal information

Please refer to our Privacy Policy which specifies what personal information we will collect from you.

If you choose to pay by card, we will not store any of your payment information.

Changes to these terms and conditions

We reserve the right to change these terms and conditions from time to time.  Where possible we will give you reasonable notice of changes and the date, they take effect.

 

Law and jurisdiction

Contracts for the booking of meeting rooms and/or equipment will be governed by the laws of England and Wales.  Any dispute arising from or relating to such contract shall be subject to the exclusive jurisdiction of the courts of England and Wales.

 

Website terms & conditions

Circa45 owns and/or controls the website at millhousewooburn.com and related Circa45 domains and mobile applications, together, the site. You are a visitor to or a registered user of the site.

  

By accessing the site, you confirm that you accept these terms and that you agree to comply with them. If you do not agree to these terms, please refrain from using the site.

 

Other applicable terms

The following terms also apply to your use of the site:

  • Our privacy policy sets out the terms on which we process any personal data we collect from you or that you provide to us. By using the site, you consent to such processing, and you warrant that all data provided by you is accurate

  • Our cookie policy sets out information about the cookies on the site

  • By using the site, you confirm you accept the terms of these policies

 

The following terms will also apply to the provision of our services (where relevant):

  • Where your purchase services via our membership pages, the Circa45 members terms and conditions will apply

  • Where your purchase meeting room services

Intellectual property rights   

All copyright, trademarks, design rights, patents and other intellectual property rights in and on the Site are owned by Circa45 or its licensors.

  

Reproduction of part or all of the contents of the site in any form is prohibited other than for personal use or internal business use only and may not be reproduced or shared with a third party. All copyright notices in the original material must be retained. The site may not be modified, disassembled, decompiled or reverse engineered in any way for any commercial purpose.

 

Reproduction for personal and internal business use does not permit incorporation of material or any part of it in any other website, electronic retrieval system, publication or any other work whether hard copy, electronic or otherwise.

  

If you print off, copy or download any part of the site in breach of these terms, your right to use the site will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

 

 

Disclaimers and limitation of liability

Circa45 accepts no liability in respect of:

  • any of the content of the site (including any as to the quality, accuracy, completeness, or fitness for purpose of any such content and any guidance or other content and information in connection with new business space, property, or land). This information on the site does not constitute advice or recommendation

  • any content submitted or uploaded by users of the site; or

  • any content of any other website referred to or accessed by hypertext links or otherwise through this website (Third party site)

 

Nothing in these terms excludes or limits our liability for our fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

 

Circa45 shall not be liable for any damages, losses, expenses, costs or liabilities (whether direct, indirect or consequential) resulting from the use of, access to, or reliance upon the information contained in or available through the site.

 

Circa45 shall not be liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of the site or to your downloading of any content on it, or on any website linked to it.

 

Circa45 does not warrant those functions, materials and information available on the site (and/or linked to the site) will be uninterrupted or error free or that defects will be corrected. Circa45 may suspend, withdraw, discontinue or change all or any part of the site without notice. Circa45 will not be liable if for any reason the site is unavailable at any time or for any period.

 

You are responsible for implementing sufficient procedures and virus checks (including anti-virus and other security checks) to satisfy particular requirements for the accuracy and security of the data input and output. You are responsible for making all arrangements for you to have access to the Site and any charges associated with such access.

 

Lawful purposes

You may use our site only for lawful purposes. You may not use our site:

  • In any way that breaches these terms, any applicable local, national or international law or regulation

  • To send, knowingly receive, upload, download, use or re-use any material which does not comply with these terms

  • To transmit, or procure the sending of, any unsolicited or unauthorized advertising or promotional material or any other form of similar solicitation (spam)

  • To impersonate another person or create a false or misleading identity for the purpose of misleading others as to your identity, or to collect information about other users;

  • In any way that interferes with another user’s use and enjoyment of the site or in any other manner that could damage, disable, overburden, or impair the site
